Terms of Service

By installing or using SafeNet30 (the "App") on your Shopify store, you agree to these Terms of Service. If you don't agree, don't install or use the App.

SafeNet30 verifies business buyers using third-party know-your-business (KYB) data — including business identity, watchlist, bankruptcy, and tax ID checks — and applies the credit limits and Net terms rules you configure to orders placed through Shopify B2B company accounts. Verification results are informational: SafeNet30 does not guarantee that a buyer will pay, and you remain solely responsible for any credit or Net terms you extend.

You're responsible for configuring credit limits, terms, and buyer eligibility rules appropriately for your business, for the accuracy of the store and company data you provide, and for complying with applicable law when extending credit to buyers, including any consumer or commercial credit regulations that apply in your jurisdiction.

You are the creditor. When you extend, decline, modify, or withdraw Net terms, that decision is yours, and you are responsible for meeting every legal obligation that attaches to it.

Those obligations may include the Equal Credit Opportunity Act and Regulation B, which apply to applicants for business credit as well as consumer credit. Depending on the applicant, they can require you to notify an applicant of an adverse decision and either give the reasons for it or tell the applicant they may request them. What applies to you depends on your applicants and your jurisdiction, and we cannot determine that for you. That is a question for your own counsel.

To support you, the App records the reasons for every decision and makes them available to you in the Shopify admin. Making that information available is not legal advice, and is not a representation that any particular use of the App satisfies any legal requirement.

You will not use the App to evaluate individual consumers for credit intended for personal, family, or household purposes. SafeNet30 is not a consumer reporting agency, and information the App provides is not a consumer report.

Fees for SafeNet30 are billed through the Shopify billing API according to the plan you select at installation. Fees are non-refundable except where required by law or stated otherwise at checkout.

You can uninstall the App at any time from your Shopify admin. We may suspend or terminate access to the App if we believe it's being used in violation of these terms or in a way that creates risk to us, Shopify, or other merchants.

The App is provided "as is" without warranties of any kind. SafeNet30 is not a lender, credit bureau, or collections agency, and does not guarantee buyer creditworthiness or payment. To the maximum extent permitted by law, SafeNet30 is not liable for losses arising from credit or Net terms decisions made using the App, including unpaid invoices.

The section above addresses losses arising from credit and Net terms decisions. This section applies to all other claims.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if that party was advised such damages were possible.

To the maximum extent permitted by law, SafeNet30's total aggregate liability for all claims arising out of or relating to these terms or the App will not exceed the greater of (a) the fees you paid SafeNet30 in the twelve months immediately before the event giving rise to the claim, or (b) USD 100.

These limits do not apply to either party's fraud, gross negligence, or willful misconduct, or to your obligation to pay fees you owe. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

You will defend, indemnify, and hold harmless SafeNet30 and its officers, employees, and agents against any third-party claim, demand, or proceeding, and any resulting losses, damages, judgments, settlements, and reasonable attorneys' fees, arising out of or relating to: (a) credit or Net terms you extend, decline, modify, or withdraw, and any resulting non-payment, collection activity, or dispute; (b) your use of the App, including any limits, thresholds, or settings you configure; (c) your relationship with, or communications to, your buyers; and (d) your failure to meet a legal obligation that applies to you as a creditor, including any notice, disclosure, or record-keeping requirement.

SafeNet30 will defend, indemnify, and hold you harmless against any third-party claim that the App, used as these terms permit, infringes that third party's intellectual property rights.

The party seeking indemnification will promptly notify the other of the claim, allow the indemnifying party to control the defense, and provide reasonable cooperation at the indemnifying party's expense. Neither party will settle a claim in a way that imposes a non-monetary obligation on the other without that party's written consent.

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing anything, we would rather talk. If you have a dispute, email us at [email protected] describing the issue and what you would like us to do about it, and we will do the same for you. If we cannot resolve it within 30 days, either of us may proceed.

Any claim not resolved that way must be brought exclusively in the state or federal courts located in Hillsborough County, Florida, and each of us consents to personal jurisdiction and venue there.

Each of us waives any right to a jury trial. Each of us agrees to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.

We may update these terms from time to time. Continued use of the App after an update constitutes acceptance of the revised terms.
